Terms of Service

These Terms of Service (“Terms”) govern your access to and use of TroopPlanner (“Service”), operated by Michael Perkins, a sole proprietorship based in the Commonwealth of Virginia (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

TroopPlanner is a web-based software-as-a-service platform that helps Scouts BSA troops manage membership rosters, advancement tracking, event scheduling, communications, and related troop administration tasks.

2. Eligibility and Accounts

Account Holders. Each troop subscribes to TroopPlanner through an authorized adult leader (“Account Holder”), typically a Scoutmaster, Committee Chair, or other registered adult. The Account Holder is responsible for the troop’s use of the Service and for ensuring that all users within their troop comply with these Terms.

Parental Consent for Minors. The Service may be used by scouts under the age of 18. When a minor logs in for the first time, an email notification is sent to the parent or legal guardian on file requesting authorization. No minor may continue using the Service without parental or guardian consent. The Account Holder is responsible for ensuring that parental consent has been obtained for each minor user in their troop.

Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us promptly at support@troopplanner.com if you become aware of any unauthorized use of your account.

3. Fees and Payment

Subscription. TroopPlanner is offered on an annual subscription basis. Current pricing is published on our website. We reserve the right to change pricing with at least 30 days’ notice before a renewal period.

Payment. Payment is due annually via Venmo (@troopplanner) or another payment method we may offer. Subscriptions are billed for one year at a time.

Free Trial. New troops receive a 60-day free trial with full access to all features. No payment is required to start a trial. At the end of the trial period, the troop must subscribe to continue using the Service.

Money-Back Guarantee. If you are not satisfied with the Service, you may request a full refund within 60 days of your initial subscription payment. Refund requests should be sent to support@troopplanner.com.

4. Data Ownership and License

Your Data. All data entered into TroopPlanner by your troop (“Your Data”) remains your property. We do not claim ownership of Your Data.

License to Us. By entering data into the Service, you grant us a limited, non-exclusive, royalty-free license to use Your Data solely for the following purposes:

We will not sell Your Data to third parties or use it for advertising purposes.

Data Export. You may export Your Data at any time using the export features built into the Service. We will make reasonable efforts to provide additional data export assistance upon request.

5. Data Retention and Termination

Cancellation. Either party may cancel the subscription at any time by providing written notice to the other party. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused time, except as provided under the money-back guarantee in Section 3.

Data Retention After Cancellation. Upon cancellation or expiration of your subscription, we will retain Your Data for a minimum of six (6) months. During this retention period, you may request a copy of Your Data by contacting support@troopplanner.com. After the retention period, we may permanently delete Your Data without further notice.

Termination for Cause. We may suspend or terminate your access to the Service immediately and without notice if you violate these Terms, including but not limited to the prohibited conduct described in Section 6. In the event of termination for cause, you will still have the opportunity to request a data export within the retention period, but no refund will be issued.

6. Acceptable Use and Prohibited Conduct

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including reporting such activity to law enforcement authorities.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

8. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

TroopPlanner is a record-keeping tool. It is not a substitute for official BSA records, and we make no guarantees regarding the accuracy, completeness, or official standing of any advancement, membership, or other data managed through the Service. The official record of a scout’s advancement remains with the Boy Scouts of America.

9. Limitation of Liability

To the maximum extent permitted by applicable law, our total liability to you for all claims arising out of or relating to the Service or these Terms shall not exceed the amount you paid us in subscription fees during the twelve (12) months immediately preceding the event giving rise to the claim.

In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or interruption of service, even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless Michael Perkins and TroopPlanner from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any data you enter into the Service.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of laws principles.

Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. Arbitration shall take place in the Commonwealth of Virginia. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

No Class Actions. All disputes shall be resolved on an individual basis. You agree not to bring or participate in any class action, collective action, or representative proceeding against us.

Exceptions. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction in the Commonwealth of Virginia to prevent the actual or threatened infringement of intellectual property rights or to address violations of Section 6 (Acceptable Use).

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify Account Holders via email or through a notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
